In the fourth and final video in our series of walk aways – the key reasons law firms walk away from a deal – we discuss accounting and in particular what comes out of financial due diligence – for example items on the balance sheet, the contingent liabilities and client accounts.
Today we discuss the third topic in Mosaic Legal’s series on walk aways. Culture is an area which is massively under invested in, when it comes to time spent in the pre-merger phase. As a result, we take a look at some cultural issues which have had to be addressed by a merged firm at the integration phase. We also look at some examples of red flags we have ourselves encountered. Finally, why should a cultural audit form part of the pre-merger process?
In the first of our series on walk aways (the reasons why a firm may walk away from a deal), we discuss due diligence and what might come out of it. We also consider how an independent advisor can interpret what comes out of due diligence in a way that, sometimes, firms that are deeply involved in a deal can’t work out for themselves.
